Governor Carol Silvey, Chair of the Risk Management and Audit Committee, called the meeting to order at 4:02 p.m. via Zoom webinar.

Approval of Minutes

Governor Silvey called for a motion to approve the open and closed minutes of the February 17, 2021, Risk Management and Audit Committee meetings. Governor Jay Wasson provided a motion, receiving a second from Governor Amy Counts.

Motion passed 4-0.

Introduction of Arti Arti, Internal Auditor

Natalie McNish, Interim Director of Internal Audit and Risk Management introduced Arti Arti, Internal Auditor, who joined the team in February.

Letter to Darr College of Agriculture

Ms. McNish reviewed a new tool that allows the Office of Internal Audit and Risk Management to communicate with university management without going through the full audit process. She shared that these letters provide recommendations to management in a more timely fashion over limited work. The letters serve in a consulting capacity and will be used on a limited basis, when most appropriate. She reviewed the letter sent to the Darr College of Agriculture.

Ethics Hotline Report ‐‐

Ms. McNish provided a report on the ethics hotline for calendar years 2017, 2018, 2019 and 2020. During this time, 95 reports were filed with the ethics hotline. All of these reports were investigated and tracked. None of the reports remain open or pending.

Closed Session

It was determined that the Board of Governors needed to meet in a closed session to consider items of business provided in the Revised Statutes of Missouri. Governor Silvey asked if a resolution authorizing a closed meeting of the Board was prepared. Thereupon, the following resolution was presented for consideration:

BE IT RESOLVED by the Risk Management and Audit Committee of the Board of Governors for Missouri State University that a closed meeting, with closed records and closed vote, be held during a recess of the Risk Management and Audit Committee meeting of the Board of Governors to consider items pursuant to:

  • R.S.Mo. 610.021(20). “The portion of a record that identifies security systems or access codes or authorization codes for security systems of real property,…”

Governor Wasson moved the approval of the resolution and Governor Lynn Parman seconded the motion.

A roll-call vote on the motion was as follows: those voting in favor – Governors Counts, Silvey, Parman, and Wasson; those voting against – none.

Governor Silvey declared the resolution passed unanimously. The open meeting was recessed at 4:20 p.m. to go into closed session.

The open meeting was reconvened at 4:57 p.m.

Adjournment

With no additional information needing to be discussed, Governor Silvey called for a motion to adjourn the meeting. Governor Wasson provided a motion, Governor Counts provided a second.

Motion passed 4-0.

Meeting adjourned at 4:58 p.m.
