2.    Presiding – Ms. Carrie Tergin, Chair of the Board of Governors, called the Executive Committee conference-call meeting to order at 4:00 p.m. in Room 203 of Carrington Hall on the campus of Missouri State University in Springfield, Missouri.

3.    Approval of Minutes – Ms. Tergin mentioned that the first item of business was the approval of the minutes for the open meeting of September 19, 2018.  Mr. Craig Frazier so moved, receiving the second from Mr. Kendall Seal.

Motion passed 3-0.

4.    Procurement and Financial – Mr. Steve Foucart, Chief Financial Officer, recommended preliminary approval of terms of educational facilities revenue bonds, series 2019 (Financial No. 1087-18).  A proposal was received from Capital One Public Funding, LLC, to purchase the educational facilities revenue bonds in the principal amount of approximately $15,730,000 at a fixed rate of 3.53% with a 15-year term; closing date prior to January 23, 2019.  A motion to approve was received from Mr. Seal, with a second from Mr. Frazier.  

Motion passed 3-0.

Final approval of the revenue bonds will be recommended at the December Board meeting.  At this time, Mr. Bill Burns, Gilmore & Bell; Mr. Chris Collier, Hilltop Securities, Inc.; Ms. Reagan Holliday, Hilltop Securities, Inc.; and Ms. Jennifer Cox, Assistant to the Vice President for Administrative Services, left the meeting.

Mr. Foucart then presented a resolution summarizing Procurement Services’ Office activities from September 14, 2018 through November 9, 2018 (Purchasing Activity Report No. 471-18).  The items included in the resolution were:

•    Approval recommended for parking management system agreement utilizing National Joint Powers Alliance Contract 121416-TSI through T2 Systems, Incorporated.  Total cost for three one-year periods is $307,288.80.

•    Approval recommended for a new contract for charter bus transportation services with Village Tours and Travel, LLC.  Contract period will be January 1, 2019 through December 31, 2019, with four additional one-year renewal options.  Total estimated five-year period cost is $350,000.   
 
•    Approval recommended for Group Life, AD&D and LTD Insurance through an extension of Contract C5590-1 with CIGNA.  Contract period will be for two (2) more years from January 1, 2019 through December 31, 2020 at an estimated cost of $321,601 per year.

Mr. Matt Morris, Vice President for Administrative Services, then recommended approval for reinsurance (stop-loss) for employee group medical plan through Liberty Mutual Company.  The contract period is from January 1, 2019 through December 31, 2019, at an estimated one-year cost of $1,090,794.24.  Mr. Marshall Kinne, Med-Pay, Inc., gave a more in-depth review providing examples of charges and claims related to stop-loss coverage. Mr. Seal made a motion to approve the purchasing activity report, receiving a second from Mr. Frazier. 

Motion passed 3-0.

Mr. Morris then reviewed the insurance for prescription drug plan modifications and contract C5726-2 extensions with MedTrack, which was listed on the report for informational purposes only.  President Clif Smart wanted to make the full Board aware of the coverage and costs savings for the University. He also noted that the Mercy contract will be presented for approval at the December meetings.

5.    Adjournment – Ms. Tergin adjourned the conference-call meeting at 4:36 p.m. on the motion of Mr. Frazier, the second of Mr. Seal and the unanimous vote of the committee.
